Maple-TMX Group merger clear approval hurdles

(AP) ? Canada's competition watchdog and Ontario's securities regulator on Wednesday approved a CA$3.8 billion (US$3.75 billion) bid by a group of Canadian financial institutions to take over the operator of the Toronto Stock Exchange and merge it with two other exchanges.

Maple Group Acquisition Corp. will be permitted to operate a combined exchange and clearing group involving the TMX Group, along with the alternative Alpha Trading Systems Inc. and the Canadian Depository for Securities Ltd.

TMX and Alpha control some 85 percent of all stock trades in Canada, raising some concerns that the merger would give too much power to a single market and clearing operator controlled by Canada's big financial institutions.

Canada's Competition Bureau said that despites its concerns, it will not challenge Maple Group Acquisition Corp.'s proposed takeover of the TMX Group. The Ontario Securities Commission also gave its approval. However, the proposed takeover and mergers remain under review by the British Columbia and Alberta securities commissions.

Competition Commissioner Melanie Aitken said the bureau's serious concerns with the proposed transaction have been addressed.

"The measures contained in the (Ontario Security Commission's) final recognition orders materially change the regulatory environment sufficient to substantially mitigate the bureau's competition concerns," she said.

Both the exchange and clearing group orders are subject to terms and conditions to provide what the Ontario regulator described as an "enhanced oversight program."

The orders have been reviewed and agreed to by all members of Maple Group, the consortium said in a statement.

TMX CEO Tom Kloet said the recognition orders would provide enhanced regulatory oversight "and the foundations upon which we will build an efficient and globally competitive exchange group."

"We are very pleased with the strong progress being made to secure the necessary regulatory approvals," said Maple Group chief spokesman Luc Bertrand.

Quebec's securities regulators, the Autorite des marches financiers, previously published final recognition orders with respect to Maple's proposed acquisition of TMX Group and Alpha.

The recognition orders follow comprehensive reviews that included public hearings and public comment periods.

The Competition Bureau said measures contained in approvals by the provincial securities regulators substantially mitigate its concerns.

Under the deal, Maple's offer to acquire a minimum of 70 percent and a maximum of 80 percent of the shares of TMX Group for CA$50 (US$49) in cash per share is open until 5 p.m. EST (2100 GMT) on July 31 unless further extended or withdrawn.

The offer is part of an integrated acquisition transaction, valued at approximately CA$3.8 billion (US$3.75 billion), to acquire 100 percent of TMX Group shares.

The investors in Maple Group Acquisition Corp. include 13 of Canada's largest financial heavyweights including the Canada Pension Plan Investment Board, the Ontario Teachers' Pension Plan, several banks, and Manulife Financial.

Maple said investment dealer GMP Capital Inc has agreed to withdraw from the investor group due to a requirement by Ontario and Quebec regulators that Maple's board include no more than 50 percent representation from the consortium's shareholder group.

Maple Group is the only suitor remaining to buy TMX Group after a proposed merger with the London Stock Exchange was killed because there was not enough TMX shareholder support.

The TMX has said it will continue its expansion plan, whether it comes to an agreement with Maple, or moves forward on its own.

On the Toronto Stock Exchange, the TMX group's shares were up CA$1.17 (US$1.16), or 2.5 percent, at CA$48.02 (US$47.44) in midday trading Wednesday.

The idea of the Higgs particle was proposed nearly 50 years ago. (Incidentally, it has never been called the ?God particle? by the physics community.? It was discussed almost as a curiosity, to get around some inconsistencies between predictions and theory at the time in particle physics, that if an otherwise invisible background field exists permeating empty space throughout the universe, then elementary particles can interact with this field. Even if they initially have no mass, they will encounter resistance to their motion through their interactions with this field, and they will slow down. They will then act like they have mass. It is like trying to push your car off the road if it has run out of gas. You and a friend can roll it along as long as it is on the road, but once it goes off and the wheels encounter mud, you and a whole gang of friends who may have been sitting in the back seat cannot get it moving. The car acts heavier.

Eltrombopag, a drug that was designed to stimulate production of platelets from the bone marrow and thereby improve blood clotting, can raise blood cell levels in some people with severe aplastic anemia who have failed all standard therapies.

About one-third of aplastic anemia cases do not respond to standard therapy, a combination of immune-suppressing drugs. Although bone marrow stem cell transplantation is an option for some, patients without a matched donor have few treatment options. The findings of this new clinical study, carried out by the National Heart, Lung, and Blood Institute (NHLBI) of the National Institutes of Health, suggest eltrombopag could be a second-line therapeutic option for them.

"Eltrombopag and Improved Hematopoiesis in Refractory Aplastic Anemia," will be published online July 5 in the New England Journal of Medicine.

Aplastic anemia is a rare blood disorder, with about 600 new cases in the U.S. each year. Aplastic anemia results from the destruction of bone marrow stem cells, which mature into red blood cells that carry oxygen, white blood cells that fight infection, and platelets that prevent excess bleeding. Symptoms of the disorder include fatigue, frequent infections, and hemorrhaging. In severe cases unresponsive to treatment, death can occur.

Eleven of 25 participants enrolled in this phase 2 study showed improved production of at least one type of blood cell (red blood cell, white blood cell, or platelet) after 12 weeks of oral eltrombopag therapy. Among the seven volunteers who continued taking the pills long-term (8-32 months), six eventually showed an improvement in all three types of blood cells, and were able to maintain safe blood counts without needing red blood cell or platelet transfusions. Overall the drug was well tolerated, with few side effects.

The research team in the NHLBI Hematology Branch tested eltrombopag because this drug had previously been shown to boost platelet levels in both healthy people and people with reduced platelets due to hepatitis C infection or immune thrombocytopenia, blood disorders that like aplastic anemia result in low platelet counts and increased risk of bleeding.

The encouraging finding in this study was improvement in red blood cell and white blood cell counts in some aplastic anemia patients, suggesting that the drug can stimulate bone marrow stem cells and perhaps have wider utility than initially predicted.

In U.S. soda scuffle, experts say it's no easy choice

WASHINGTON (Reuters) - At Andrea Giancoli's community nutrition classes, participants bring in cans and bottles of whatever they typically drink every day, from sodas and fruit juices to sweet teas.

Then the Los Angeles-based dietician helps them read the back of their containers for portion size, calories and sugar content. Then one by one, she stacks sugar cubes by their drink so they can visualize what they are swallowing.

Sometimes she has to stack as many as 25 cubes - nearly 400 calories worth. That's far more than a usual serving of one or two cubes most people use in a cup of coffee or tea.

"They don't often equate what they drink with calories. They just equate what they eat with calories, so that has to be explained," said Giancoli, who has taught such classes for more than a decade to a variety of students, some already grappling with weight issues or diabetes. Many are low-income or elderly.

New York City Mayor Michael Bloomberg's recent plan to restrict cup sizes for sugar-sweetened beverages to 16 ounces (47 centiliters) has reignited debate over what health advocates call "liquid candy."

The focus on sugary drinks comes as two out of every three Americans is overweight or obese and policymakers take aim at sugary drinks, from New York City's cup-size restriction to new efforts to impose drink taxes and cut sales in U.S. schools.

Policymakers and health activists argue that consumers still have options but that government intervention is needed to help buyers make better decisions that improve public health and stem the nation's costly obesity crisis. The beverage industry has countered by stepping up its defense of consumer choice.

But nutritionists, marketing experts and others who study people's drinking habits say cutting back on sugary drinks is not so easy. Understanding drink labels and calculating serving size and calories is increasingly tricky, they say.

"It can be confusing," said Angela Ginn, a Baltimore-based dietician.

"The biggest thing is they don't understand 'What's good for me?' or 'What's bad for me.' They read the outside of the packaging but not the back of the label," said Ginn, who like Giancoli is a registered dietician and part of The Academy of Nutrition and Dietetics, a professional group for dieticians.

While sales of soft drinks have declined in recent years, sales of sports drinks, juices and other non-carbonated beverages have grown.

Americans on average drank 714 8-ounce (24-centiliter)servings of carbonated soft drinks last year - about 9 billion cases, according to Beverage Digest, a leading beverage industry newsletter. Sales of other, non-carbonated drinks, including bottled water, reached about 15 billion cases.

STRUGGLING WITH SERVINGS

"We do a lot of education around portion control, front of pack labeling ... we offer consumers a lot of choices," Simon Lowden, chief marketing officer for PepsiCo Inc's PepsiCo Beverages Co, said at a recent industry conference.

Companies have added calorie counts to the front of many cans and bottles but not fountain drinks. Serving sizes also vary: Coca-Cola Co lists both a 20-ounce (60-centiliter) bottle and a 12-ounce (35-centiliter) can of cola as one serving.

In Giancoli's classes, students still struggle, she said.

Some see pictures of fruit on the label and assume the sugary drinks are good for them. Others have a hard time telling how many servings - experts say nearly three - and calories are in a 20-ounce (60-centiliter) bottle.

Giancoli said showing students the actual sugar in drinks helps. Having a 20-ounce (60-centiliter) bottle of soda every day on top of a regular diet can add 26 pounds (12 kg) a year, she tells them.

Part of the problem, experts said, is that the brain doesn't register calories from drinks as filling the way it does calories from food. It's also tough for people to fully grasp the impact of bigger sizes even as portion sizes have swelled.

In the 1920s, Coca-Cola sold its cola in 6.5-ounce (19-centiliter), 85-calorie single-serving glass bottles. Now companies sell 64-ounce (189-centiliter) drinks that pack up to 850 calories, nearly half of the daily calories for a middle-aged woman who exercises moderately or about one-third of those needed for her male counterpart.

Marketing researcher Pierre Chandon recently reviewed 21 studies and found that even if a cup or package size doubles, consumers cannot tell they are getting twice as much.

"Our mind is very bad at geometry," said Chandon, a professor at INSEAD business school in Paris whose work will be published later this year. Fountain drink cups need pictures on the front that show the number of servings, he said, adding labels such as "medium" or "large" are meaningless for buyers.

Policy makers are also trying to steer consumers away.

Bloomberg's plan, if approved, could start next year. Soda taxes, like one on the ballot in Richmond, California, this November, aim to steer people away with higher costs. U.S. officials are also weighing new school rules that could limit or ban the drinks.

Restaurants oppose Bloomberg's proposal. The National Association of Convenience Stores, which represents retailers exempted from the New York plan, said it is not planning voluntary action like changing cup labels but is working on a plan to help members sell healthier items.

Drink makers themselves have long-touted voluntary steps, such as selling smaller sizes and limiting school sales.

Baltimore's Ginn said she agrees with beverage manufacturers that say people want tasty choices. But it is so difficult for her clients -- mostly blacks with type 2 diabetes, a condition linked to obesity -- to navigate them that she tells them to avoid sugar-sweetened drinks altogether.

"I try to keep things as simple as possible," she said.

EU court OKs resale of software licenses

(AP) ? The European Union's highest court ruled Tuesday that software makers cannot keep people who download programs from selling their licenses for those programs to others ? as long as they disable their own copies.

The ruling comes in a case brought by California-based software maker Oracle against UsedSoft, a German company that resells software licenses, and it could have broad implications for the digital industry.

The licenses, which accompany the purchase of the program, are generally valid for an unlimited period of time. They allow the use of the program and may include such features as periodic updates and program fixes.

Oracle seeks to have reselling of such licenses declared illegal. It took UsedSoft to court in Germany, seeking an order forcing the company to stop reselling licenses for Oracle software. Germany's Federal Court of Justice, which has yet to issue a ruling in the case, sought an interpretation of EU law from the Luxembourg-based Court of Justice, the EU's highest court.

The Court of Justice ruled that the copyright protection for downloaded programs was the same as for programs sold on CDs. Just as a someone who has bought a program on a CD can sell it, so too can someone who has bought a program by downloading it sell the right to use it to someone else ? as long as he or she does not retain the right to use it at the same time, the court said.

The court ruled that downloading a program is, in effect, is similar to buying a book. It is illegal to make photocopies of a book and sell them. But, having bought a book, a reader owns that copy of the book and is allowed to sell it to someone else.

The Court of Justice's ruling applies only to companies doing business in the 27 European Union countries, and governs their conduct only in those countries.
